1. Service Description​

GCX facilitates a service for the licensing of AI music datasets. This enables users to search, preview, and license music datasets for a variety of applications, including but not limited to research, development, and commercial use. As the licensing authority, we also provide a platform for users to access our copyrighted datasets.

2. License Agreements

Through GCX, users are given the opportunity to license music datasets. As you license a music dataset through us, you consent to the terms and conditions of the license agreement we provide for your organization. We are the licensing authority and the copyright owner, along with affiliated parties, of the datasets provided. You acknowledge and agree that GCX is not responsible for any disputes that may arise between you and any other third copyright holders in regards to music datasets that are not provided by GCX.

3. Service Usage

You agree to employ our services solely for lawful objectives and in adherence with these Terms. You agree not to utilize our services to:

- violate any relevant law or regulation

- infringe upon the intellectual property rights of others

- upload or transmit any viruses, malware, or other harmful code

- engage in any activity that disrupts or interferes with our services or connected servers and networks.

 

4. Fees and Payment​

You consent to pay all costs associated with your use of our services. The fees may differ based on the specific license agreement. You consent to pay all fees promptly and in compliance with the license agreement terms. All payments are non-refundable.

5. Warranty Disclaimer

GCX does not assure the accuracy, completeness, or reliability of any information or content delivered through our services. You acknowledge and agree that our services are delivered on an "as is" and "as available" basis, devoid of any express or implied warranties.

6. Liability Limitation

GCX shall not be held accountable for any indirect, incidental, special, or consequential damages resulting from or connected to your use of our services, including but not confined to lost profits or data. In no event shall our total liability to you exceed the amount you paid to GCX for the use of our services.

7. Indemnification

You consent to indemnify and hold GCX, along with its affiliates, officers, agents, and employees, free from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of our services, your violation of these Terms, or your violation of any rights of another.

8. Termination

We reserve the right to terminate or suspend your access to our services at any moment and without prior notice for any reason. Upon termination, your right to use our services will immediately cease.

9. Governing Law

These Terms and your use of our services shall be governed by and interpreted according to the laws of the State of New York, without giving effect to any principles of conflicts of law.
